This Agreement shall be binding upon and inure to the benefit of Company and our respective assigns, successors, heirs, and legal representatives. Neither this Agreement nor any rights hereunder may be assigned without the prior written consent of Company. Notwithstanding the foregoing, all rights and obligations under this Agreement may be freely assigned by Company to any affiliated entity or any of its wholly owned subsidiaries
DISPUTES | Except as to Company’s right to seek a temporary restraining or preliminary injunction to prevent the immediate or continuing violation of these Terms of Service, these Terms of Service shall be governed by and construed in accordance with the laws of the State of Florida and any dispute shall be subject to binding arbitration in Florida by a JAMS arbitrator; the arbitrator’s decision will be final and binding with limited rights of appeal; and, the prevailing party shall be reimbursed by the other party for any and all costs associated with the dispute arbitration, including attorney fees, collection fees, investigation fees, and travel expenses.
